1. Acceptance of Terms

Welcome to EXCELLERATE, operated by Pointshare LTD ("we," "our," or "us"). By accessing or using our Excel Business Logic Analyser service ("Service"), you agree to be bound by these Terms of Service ("Terms").

2. Service Description

EXCELLERATE provides automated analysis tools for Excel workbooks, including:

• Formula extraction and classification
• Dependency graph generation
• Business logic analysis and reporting
• AI-powered business insights (on applicable plans)
• Downloadable CSV and visual reports

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Requirements and Eligibility

3.1 Account Creation

• You must create an account using Google OAuth authentication
• You must provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities under your account

3.2 Eligibility

• You must be at least 13 years old to use this Service
• You must have the legal capacity to enter into binding contracts
• You must not be prohibited from using the Service under applicable law
• Corporate accounts must be authorized by an authorized representative

4. Subscription Tiers and Features

EXCELLERATE offers the following subscription tiers (prices in GBP):

Tier features and pricing are subject to change with 30 days' notice to existing subscribers.

5. Payment Terms, Billing, and Refunds

5.1 Payment Processing

• All payments are processed securely through Stripe
• You authorize us to charge your payment method on a recurring basis
• You are responsible for all applicable taxes

5.2 Billing Cycle

• Subscriptions are billed monthly in advance
• Billing occurs on the same day each month as your subscription start date
• Failed payments may result in service suspension
• You will receive email notifications before each billing cycle

5.3 Refund Policy

• 7-Day Money-Back Guarantee: First-time subscribers may request a full refund within 7 days of initial purchase
• Service Issues: Refunds may be issued at our discretion for documented service outages exceeding 24 hours
• Pro-Rated Refunds: We do not offer pro-rated refunds for mid-cycle cancellations
• Refund Requests: Contact support@excellerate.app with your account details

5.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period. You will retain access to paid features until the period ends.

6. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service for your internal business purposes
• Upload Excel files for analysis
• Download and use analysis reports generated by the Service

This license does not permit you to:

• Resell, redistribute, or sublicense the Service
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to build competing products or services
• Remove or modify any proprietary notices from the Service

7. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Engage in data mining, scraping, or automated data collection without authorization
• Upload files containing personally identifiable information without proper consent
• Use the Service for illegal activities, harassment, or spam
• Impersonate any person or entity

Violation of these terms may result in immediate account termination and legal action.

8. User-Generated Content

8.1 Your Content

You retain all ownership rights to the Excel files and data you upload ("Your Content"). By uploading Your Content, you grant us a limited license to:

• Process and analyze Your Content to provide the Service
• Store Your Content temporarily (files automatically deleted after 30 days)
• Generate analysis reports based on Your Content

8.2 Content Responsibility

You are solely responsible for Your Content and must ensure:

• You have the right to upload and process the content
• Your Content does not violate any laws or third-party rights
• Your Content does not contain sensitive personal data without proper authorization

8.3 Data Retention

Uploaded Excel files are automatically deleted after 30 days. Analysis results are retained until you delete your account or request removal.

9. Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, logos, and other content (excluding Your Content), is owned by Pointshare LTD and protected by copyright, trademark, and other intellectual property laws.

"EXCELLERATE" and associated logos are trademarks of Pointshare LTD. You may not use our trademarks without prior written permission.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting support or using account deletion features. Upon termination:

• Your access to the Service will cease
• Your data will be deleted within 30 days (subject to legal retention requirements)
• No refunds will be issued for unused subscription time

10.2 Termination by Us

We reserve the right to suspend or terminate your account immediately if:

• You violate these Terms
• Your account is used for illegal activities
• Payment methods fail repeatedly
• We are required to do so by law

We will provide reasonable notice unless immediate termination is required for legal or security reasons.

11. Warranties Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties regarding accuracy, reliability, or completeness of analysis results
• Warranties of uninterrupted or error-free service

We do not warrant that the Service will meet your requirements or that defects will be corrected. You use the Service at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POINTSHARE LTD SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the Service
• Damages arising from errors or inaccuracies in analysis results
• Third-party conduct or content

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Pointshare LTD, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your Content

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14.3 Informal Resolution

Before initiating formal legal proceedings, you agree to attempt to resolve disputes informally by contacting us at support@excellerate.app.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated "Effective Date." Material changes will be communicated via email.

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pointshare LTD regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
